Due Diligence

As the adviser to the buyer, we coordinate the due diligence for which we collate all the necessary expert opinions, such as those from auditors, attorneys, accountants and other crucial experts, in order to scrutinise the target company in detail. The result of the due diligence is authoritative for the purchase price proposal and the desired transaction structure of our client, which we then submit to the target company.

On the purchase side of a transaction, the structure of the due diligence is dependent on whether the client is a strategic (industrial) buyer or a financial investor as these two classes place different demands on the later strategic orientation and the financing of the transaction, and thus also on the due diligence.
