As the adviser to the vendor, we organise, coordinate and monitor the due diligence by the potential buyer(s). This may take place physically within the company, in a neutral location or in our company. Increasingly, use is being made of the possibility of a virtual data room, whereby the interested parties log into a highly secure electronic data room. The due diligence may also take place in the form of a vendor due diligence. A report is then produced by the client’s own advisers and made available to all the bidders.
If, following the successful conclusion of the due diligence, the investor is interested in an acquisition of the company, we together with the vendor request confirmation of the bid and, where appropriate, provide a draft sale and purchase agreement, which the potential buyer has to return with his comments.
